1. Acceptance

By using https://lab358.ai (the “Site”) you agree to these terms. If you do not agree, please do not use the Site. References to “we,” “us,” and “our” mean lab358, Inc., a Delaware C-Corp.

2. Eligibility

The Site is intended for businesses and for individuals who are at least 18 years old (or the age of majority where they live). The Site is not directed to children, and we do not knowingly collect personal data from children under 16. If you submit the early-access form, you confirm that the information you provide is your own or that you are authorized to provide it on behalf of your organization.

3. What the Site offers today

The Site is an informational marketing site. It includes a form to request early access to the lab358 inference product on AWS Marketplace. Submitting the form requests a conversation; it does not create a purchase, license, contract, or other binding commitment by either party.

The lab358 inference product itself is not yet generally available. When it is, it will be distributed through AWS Marketplace as a SageMaker model package under separate commercial terms and an end-user license that take precedence over these site terms for that product.

4. Forward-looking statements

The Site contains forward-looking statements about the lab358 architecture, the inference product, AWS Marketplace availability, pricing model, and projected performance characteristics. Statements about future events involve known and unknown risks and uncertainties; actual results may differ. Statements labeled “projected,” “illustrative,” “coming,” or “in progress” are not guarantees.

Measured benchmark results (for example, the 130M-parameter from-scratch proof-of-concept versus GPT-2 Small, and the SmolLM3-3B conversion result) are presented as of the dates shown and are not commitments about other models, scales, or workloads.

5. Intellectual property

The Site, including text, graphics, the lab358 wordmark, the Instrument visual system, and other content, is owned by lab358, Inc. or licensed to us, and is protected by US and international intellectual-property laws.

You may view, print, and link to the Site for non-commercial, personal purposes. You may not scrape, mirror, or build competing products from Site content without our written consent.

6. Acceptable use

You agree not to:

• Submit false, misleading, or impersonating information through the early-access form.
• Use automated means (bots, scripts, scrapers) to interact with the Site, except for compliant search-engine indexing.
• Attempt to interfere with the Site's security or availability, or with other visitors' use of it.
• Use the Site or any of its content in a way that violates applicable law.

7. Third-party links and services

The Site may link to third-party resources (for example, AWS, GitHub repositories, research papers). We are not responsible for the content, policies, or availability of those resources.

8. Disclaimer

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, LAB358 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT INFORMATION ON THE SITE IS COMPLETE, CURRENT, OR ACCURATE AT ANY GIVEN TIME.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LAB358, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US TO USE THE SITE (WHICH, FOR THE SITE, IS NOTHING) OR (B) US$100.

Nothing in these terms excludes or limits any liability that cannot be excluded or limited under applicable law — for example, liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by our negligence.

10. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless lab358 and its officers, directors, employees, and agents from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your misuse of the Site, your violation of these terms, or your violation of applicable law or the rights of a third party.

11. Suspension and termination

We may suspend, restrict, or discontinue the Site (in whole or in part) at any time, with or without notice. Provisions that by their nature should survive — including Intellectual property, Disclaimer, Limitation of liability, Indemnification, and Governing law — survive any discontinuation of the Site or end of your use of it.

12. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of these terms or the Site.

13. Changes

We may update these terms. The “Last updated” date at the top reflects the most recent revision. Continued use of the Site after a change constitutes acceptance of the updated terms.

14. General

These terms, together with our Privacy Policy, are the entire agreement between you and lab358 regarding the Site. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. These terms create no third-party beneficiaries.
